SLVR MARKETPLACE - BUYER & SELLER AGREEMENT

Effective November 23, 2025

IMPORTANT: BY VISITING, ACCESSING, OR USING THE SERVICES, YOU ACCEPT THE PRACTICES IN THIS BUYER & SELLER AGREEMENT. PLEASE READ THIS AGREEMENT AND THE SLVR TERMS AND CONDITIONS OF USE CAREFULLY.

1. DEFINITIONS

1.1 "Platform" means the SLVR marketplace website, mobile application, and all related services.

1.2 "Seller" means any registered user who lists items for sale on the Platform.

1.3 "Buyer" means any registered user who purchases items through the Platform.

1.4 "Transaction" means any purchase and sale of items facilitated through the Platform.

1.5 "SLVR Tokens" means the digital utility tokens used as a medium of exchange on the Platform.

1.6 "Listing" means any item posted for sale on the Platform.

1.7 "Grading Service" means third-party professional coin grading companies including but not limited to PCGS, NGC, CACG, and ANACS.

2. BUYER PROTECTIONS

2.1 Authenticity Guarantee

(a) Graded Coins: All coins listed as professionally graded must be encapsulated by a recognized Grading Service. The Seller warrants that:

  • (i) The coin is genuine and not counterfeit;
  • (ii) The grading slab is authentic and has not been tampered with;
  • (iii) The certification number matches the Grading Service's registry;
  • (iv) The coin grade and details match the Grading Service's records.

(b) Ungraded Coins: Sellers must accurately describe the condition and authenticity of ungraded coins to the best of their knowledge. Misrepresentation constitutes a material breach of these Terms.

(c) Right to Verification: Buyers have the right to submit purchased coins to a Grading Service for verification within thirty (30) days of receipt. If the coin is determined to be:

  • (i) Counterfeit or altered;
  • (ii) Incorrectly attributed;
  • (iii) Materially different from the Listing description;

The Buyer shall be entitled to a full refund including return shipping costs, and the Seller's account may be suspended or terminated.

2.2 Condition Guarantee

(a) As Described: All items must match the description, photographs, and specifications provided in the Listing. Material discrepancies include but are not limited to:

  • (i) Damage not disclosed in the Listing;
  • (ii) Different grade or condition than stated;
  • (iii) Missing components (e.g., COA, original packaging);
  • (iv) Different year, mint mark, or variety than listed.

(b) Return Rights: If an item does not match the Listing description, the Buyer may return the item within seven (7) calendar days of delivery for a full refund, provided:

  • (i) The item is returned in the same condition as received;
  • (ii) The Buyer provides photographic evidence of the discrepancy;
  • (iii) The item remains in its original grading slab (if applicable);
  • (iv) Notice of return is provided within forty-eight (48) hours of delivery.

2.3 Payment Protection

(a) Escrow Service: All payments are held in escrow by the Platform until:

  • (i) The Buyer confirms receipt and satisfaction with the item; OR
  • (ii) Seven (7) calendar days have elapsed since delivery confirmation without dispute; OR
  • (iii) Any dispute is resolved in favor of the Seller.

(b) Dispute Resolution: In the event of a dispute, funds shall remain in escrow pending resolution. The Platform shall act as mediator and may require:

  • (i) Additional photographic evidence;
  • (ii) Third-party authentication reports;
  • (iii) Shipping and tracking documentation;
  • (iv) Communication records between parties.

(c) Refund Processing: Approved refunds shall be processed within five (5) business days of:

  • (i) Seller's receipt of returned item; OR
  • (ii) Platform's determination in favor of Buyer; OR
  • (iii) Mutual agreement between parties.

2.4 Shipping Protection

(a) Insurance Requirement: All items valued over $500 USD must be shipped with insurance coverage equal to or exceeding the purchase price.

(b) Shipping Damage: If an item is damaged during shipping:

  • (i) The Buyer must document damage with photographs before opening the package;
  • (ii) The Buyer must file a claim with the shipping carrier within twenty-four (24) hours;
  • (iii) The Seller must cooperate fully with the insurance claim process;
  • (iv) If insurance claim is denied due to Seller's improper packaging, Seller is liable for full refund.

(c) Lost Shipments: If a shipment is lost in transit:

  • (i) The Seller must file an insurance claim within forty-eight (48) hours of expected delivery;
  • (ii) The Buyer shall receive a full refund if the item is not recovered within thirty (30) days;
  • (iii) Insurance proceeds shall be paid to the Buyer if Seller fails to file claim.

2.5 Privacy Protection

(a) Personal Information: The Platform shall not disclose Buyer's personal information to Sellers except as necessary to complete the Transaction (shipping address only).

(b) Purchase History: Buyer's purchase history and collection information shall remain confidential and shall not be shared with third parties without explicit consent.

3. SELLER PROTECTIONS

3.1 Payment Guarantee

(a) Payment Assurance: Once a Transaction is completed and the escrow period expires without dispute, the Platform guarantees payment to the Seller within five (5) business days.

(b) Chargeback Protection: The Platform assumes all chargeback risk. Sellers shall not be liable for:

  • (i) Credit card chargebacks initiated by Buyers;
  • (ii) Bank reversals or payment disputes;
  • (iii) Fraudulent payment methods;

Provided the Seller has complied with all Terms and accurately described the item.

(c) Fee Transparency: All Platform fees and payment processing charges shall be clearly disclosed before Listing creation. No hidden fees shall be assessed.

3.2 Fraudulent Buyer Protection

(a) Return Fraud: If a Buyer returns an item that is:

  • (i) Different from the item originally shipped;
  • (ii) Damaged by the Buyer;
  • (iii) Tampered with or altered;

The Seller may dispute the return with photographic evidence. The Platform shall investigate and may deny the Buyer's refund request.

(b) Serial Number Verification: For graded coins, the Platform shall verify certification numbers before and after returns to prevent swap fraud.

(c) Blacklist Protection: Sellers may block specific Buyers from purchasing their items. The Platform maintains a fraud database to protect all Sellers.

3.3 Listing Protection

(a) Intellectual Property: Sellers retain all intellectual property rights to their photographs, descriptions, and Listing content. The Platform receives a non-exclusive license to display such content.

(b) Price Control: Sellers have sole discretion to set prices. The Platform shall not manipulate, alter, or interfere with Seller's pricing decisions.

(c) Inventory Management: Sellers may remove Listings at any time prior to sale. Once a Transaction is initiated, the Seller is obligated to complete the sale unless Buyer agrees to cancellation.

3.4 Reputation Protection

(a) False Reviews: Buyers may not leave false, defamatory, or retaliatory reviews. Sellers may dispute reviews with evidence, and the Platform shall investigate and remove reviews that violate these Terms.

(b) Rating System: The Platform's rating system shall be transparent and based on objective criteria including:

  • (i) Shipping speed;
  • (ii) Item accuracy;
  • (iii) Communication quality;
  • (iv) Packaging quality.

(c) Dispute Impact: Disputes resolved in favor of the Seller shall not negatively impact the Seller's rating or account standing.

3.5 Account Protection

(a) Wrongful Suspension: The Platform shall not suspend or terminate a Seller's account without:

  • (i) Specific notice of the violation;
  • (ii) Opportunity to respond and provide evidence;
  • (iii) Review by Platform administrators;
  • (iv) Right to appeal the decision.

(b) Fund Access: In the event of account suspension, Sellers shall retain access to funds held in escrow for completed Transactions after the standard escrow period.

4. MUTUAL OBLIGATIONS

4.1 Good Faith Requirement

Both Buyers and Sellers agree to:

  • (a) Act in good faith in all Transactions;
  • (b) Communicate promptly and professionally;
  • (c) Provide accurate information;
  • (d) Comply with all applicable laws and regulations.

4.2 Prohibited Conduct

Neither Buyers nor Sellers shall:

  • (a) Engage in price manipulation or shill bidding;
  • (b) Create multiple accounts to circumvent restrictions;
  • (c) Attempt to complete Transactions outside the Platform;
  • (d) Harass, threaten, or abuse other users;
  • (e) List or purchase counterfeit, stolen, or illegally obtained items;
  • (f) Manipulate ratings or reviews;
  • (g) Interfere with Platform operations or security.

4.3 Communication Standards

(a) All Transaction-related communication must occur through the Platform's messaging system to ensure:

  • (i) Record keeping for dispute resolution;
  • (ii) Protection from fraud;
  • (iii) Compliance monitoring.

(b) Users shall not share personal contact information to circumvent Platform fees.

5. DISPUTE RESOLUTION

5.1 Dispute Process

(a) Informal Resolution: Parties shall first attempt to resolve disputes through direct communication via the Platform's messaging system.

(b) Platform Mediation: If informal resolution fails, either party may request Platform mediation within fourteen (14) days of the dispute arising.

(c) Evidence Submission: Parties shall submit all relevant evidence including:

  • (i) Photographs and videos;
  • (ii) Communication records;
  • (iii) Shipping documentation;
  • (iv) Third-party authentication reports;
  • (v) Expert opinions.

(d) Platform Decision: The Platform shall render a decision within ten (10) business days based on:

  • (i) Preponderance of evidence;
  • (ii) Compliance with these Terms;
  • (iii) Industry standards and best practices;
  • (iv) Prior similar disputes.

5.2 Binding Arbitration

(a) Arbitration Agreement: Any dispute not resolved through Platform mediation shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

(b) Arbitration Location: Arbitration shall be conducted remotely via video conference unless both parties agree to in-person proceedings.

(c) Costs: Each party shall bear their own costs unless the arbitrator determines one party acted in bad faith, in which case that party shall bear all costs.

(d) Class Action Waiver: Users agree to resolve disputes individually and waive the right to participate in class action lawsuits.

5.3 Small Claims Exception

Either party may pursue claims in small claims court if the claim qualifies under applicable small claims court rules.

6. LIABILITY AND INDEMNIFICATION

6.1 Platform Liability Limitations

(a) Facilitator Role: The Platform acts solely as a facilitator of Transactions between Buyers and Sellers. The Platform is not a party to Transactions and does not take title to items.

(b) No Guarantee: While the Platform provides protections outlined herein, it does not guarantee:

  • (i) The accuracy of Listings;
  • (ii) The authenticity of items (except as verified through Platform authentication services);
  • (iii) The performance of Buyers or Sellers;
  • (iv) The outcome of disputes.

(c) Limitation of Damages: The Platform's total liability for any claim shall not exceed the lesser of:

  • (i) The Transaction value; OR
  • (ii) $10,000 USD.

(d) Excluded Damages: The Platform shall not be liable for:

  • (i) Indirect, incidental, or consequential damages;
  • (ii) Lost profits or business opportunities;
  • (iii) Emotional distress;
  • (iv) Punitive damages.

6.2 User Indemnification

Users agree to indemnify and hold harmless the Platform, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorneys' fees) arising from:

  • (a) User's violation of these Terms;
  • (b) User's violation of any law or regulation;
  • (c) User's infringement of any third-party rights;
  • (d) User's fraudulent or illegal conduct;
  • (e) Disputes between Users.

7. SPECIFIC NUMISMATIC PROVISIONS

7.1 Grading Standards

(a) Grading Service Recognition: The Platform recognizes the following Grading Services:

  • (i) Professional Coin Grading Service (PCGS)
  • (ii) Numismatic Guaranty Company (NGC)
  • (iii) Certified Acceptance Corporation Grading (CACG)
  • (iv) American Numismatic Association Certification Service (ANACS)

(b) Grade Disputes: Disagreements over grade are not grounds for return unless:

  • (i) The coin is counterfeit;
  • (ii) The slab has been tampered with;
  • (iii) The certification number is invalid;
  • (iv) The coin does not match the Grading Service's description.

(c) Subjective Grading: Users acknowledge that grading is partially subjective and different Grading Services may assign different grades to the same coin.

7.2 CAC Stickers

(a) CAC Representation: If a Listing states a coin has a CAC (Certified Acceptance Corporation) sticker, the sticker must be:

  • (i) Authentic and unaltered;
  • (ii) Properly affixed to the grading slab;
  • (iii) Verifiable through CAC's database.

(b) Missing CAC Stickers: If a coin is listed with a CAC sticker but the sticker is missing or removed, this constitutes a material misrepresentation entitling the Buyer to a full refund.

7.3 Toning and Color

(a) Artificial Toning: Sellers must disclose if toning appears to be artificial or enhanced. Failure to disclose artificial toning is grounds for return.

(b) Photographic Accuracy: Photographs must accurately represent the coin's color and toning. Excessive filtering or color manipulation is prohibited.

7.4 Certification Number Verification

(a) Mandatory Verification: The Platform shall verify all certification numbers against Grading Service databases before Listing approval.

(b) Invalid Numbers: Listings with invalid or mismatched certification numbers shall be automatically rejected.

(c) Duplicate Numbers: If multiple Listings use the same certification number, the Platform shall investigate and may suspend accounts pending resolution.

8. BLOCKCHAIN AND SLVR TOKEN PROVISIONS

8.1 SLVR Token Nature

(a) Utility Token: SLVR tokens are utility tokens used exclusively for transactions on the Platform. They are not:

  • (i) Securities;
  • (ii) Investment vehicles;
  • (iii) Legal tender;
  • (iv) Guaranteed to have value outside the Platform.

(b) No Investment Advice: Nothing in these Terms constitutes investment advice. Users should consult financial advisors before purchasing SLVR tokens.

8.2 Blockchain Transactions

(a) Irreversibility: Blockchain transactions are irreversible. Users acknowledge that:

  • (i) Sent tokens cannot be recalled;
  • (ii) Incorrect wallet addresses may result in permanent loss;
  • (iii) The Platform cannot reverse blockchain transactions.

(b) Network Fees: Users are responsible for blockchain network fees (gas fees) associated with token transactions.

(c) Transaction Delays: Blockchain transactions may experience delays due to network congestion. The Platform is not liable for such delays.

8.3 Wallet Security

(a) User Responsibility: Users are solely responsible for:

  • (i) Securing their wallet private keys;
  • (ii) Maintaining wallet access;
  • (iii) Protecting against unauthorized access.

(b) Lost Access: The Platform cannot recover lost private keys or restore access to wallets. Users who lose wallet access may permanently lose their SLVR tokens.

(c) Security Best Practices: Users should:

  • (i) Use hardware wallets for large holdings;
  • (ii) Enable two-factor authentication;
  • (iii) Never share private keys;
  • (iv) Verify wallet addresses before transactions.

8.4 Token Conversion

(a) USD to SLVR: The Platform facilitates conversion of USD to SLVR tokens at prevailing spot price plus applicable premiums.

(b) SLVR to USD: Sellers may convert SLVR token proceeds to USD subject to:

  • (i) Minimum conversion amounts;
  • (ii) Conversion fees;
  • (iii) Processing times (typically 0-1 business days);
  • (iv) KYC/AML verification requirements.

(c) Exchange Rate Fluctuations: Users acknowledge that SLVR token value may fluctuate. The Platform does not guarantee any specific exchange rate.

9. COMPLIANCE AND LEGAL REQUIREMENTS

9.1 Know Your Customer (KYC)

(a) Verification Requirements: Users must complete KYC verification to:

  • (i) Sell items valued over $1,000;
  • (ii) Purchase SLVR tokens over $500;
  • (iii) Convert SLVR tokens to USD;
  • (iv) Access certain Platform features.

(b) Required Information: KYC verification may require:

  • (i) Government-issued photo identification;
  • (ii) Proof of address;
  • (iii) Social Security Number or Tax ID;
  • (iv) Beneficial ownership information (for businesses).

(c) Verification Timeline: KYC verification typically completes within 24-48 hours. Users may not access restricted features until verification is complete.

9.2 Anti-Money Laundering (AML)

(a) Suspicious Activity: The Platform monitors for suspicious activity including:

  • (i) Rapid buying and selling patterns;
  • (ii) Transactions inconsistent with user profile;
  • (iii) Structuring to avoid reporting thresholds;
  • (iv) Use of multiple accounts.

(b) Reporting Obligations: The Platform is required to report suspicious activity to appropriate authorities and may freeze accounts pending investigation.

(c) Sanctions Compliance: Users from sanctioned countries or on sanctions lists are prohibited from using the Platform.

9.3 Tax Obligations

(a) User Responsibility: Users are solely responsible for:

  • (i) Reporting income from sales;
  • (ii) Paying applicable sales taxes;
  • (iii) Reporting capital gains/losses;
  • (iv) Maintaining transaction records.

(b) Form 1099-K: The Platform shall issue Form 1099-K to Sellers who exceed IRS reporting thresholds ($600 annually).

(c) Sales Tax Collection: The Platform may collect and remit sales tax on behalf of Sellers where required by law.

9.4 Export Controls

(a) International Transactions: Users engaging in international transactions must comply with:

  • (i) Export control laws;
  • (ii) Import restrictions;
  • (iii) Currency control regulations;
  • (iv) Cultural property laws.

(b) Prohibited Destinations: Certain items may not be shipped to restricted countries or regions.

10. PLATFORM POLICIES

10.1 Fee Structure

(a) Seller Fees: Sellers pay:

  • (i) SLVR token conversion fee: Spot plus 6%, Spot minus 2%
  • (ii) Shipping costs
  • (iii) Insurance costs (for items over $500)
  • (iv) Bank incurred deposit and withdrawal fees

(b) Buyer Fees: Buyers pay:

  • (i) SLVR token conversion fee: Spot plus 6%, Spot minus 2%
  • (ii) No listing, purchase, or shipping fees

(c) Fee Changes: The Platform may change fees with thirty (30) days' notice. Changes do not apply to existing Listings.

10.2 Prohibited Items

The following items may not be listed:

  • (a) Counterfeit or altered coins;
  • (b) Stolen property;
  • (c) Items violating export controls;
  • (d) Coins illegally removed from archaeological sites;
  • (e) Items misrepresented as to origin, grade, or authenticity;
  • (f) Coins with removed or altered certification numbers;
  • (g) Items that violate intellectual property rights.

10.3 Account Termination

(a) User Termination: Users may terminate their accounts at any time by providing written notice. All pending Transactions must be completed first.

(b) Platform Termination: The Platform may terminate accounts for:

  • (i) Violation of these Terms;
  • (ii) Fraudulent activity;
  • (iii) Repeated disputes or chargebacks;
  • (iv) Abusive behavior;
  • (v) Legal or regulatory requirements.

(c) Effect of Termination: Upon termination:

  • (i) All Listings are removed;
  • (ii) Pending Transactions must be completed;
  • (iii) Funds in escrow are released per standard procedures;
  • (iv) User data is retained per privacy policy;
  • (v) User may not create new accounts without Platform approval.

11. FORCE MAJEURE

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including:

  • (a) Natural disasters;
  • (b) War, terrorism, or civil unrest;
  • (c) Government actions or regulations;
  • (d) Internet or telecommunications failures;
  • (e) Blockchain network failures;
  • (f) Pandemics or public health emergencies;
  • (g) Acts of God.

The affected party must provide prompt notice and make reasonable efforts to resume performance.

12. MISCELLANEOUS PROVISIONS

12.1 Entire Agreement

These Terms constitute the entire agreement between Users and the Platform and supersede all prior agreements, representations, and understandings.

12.2 Amendments

The Platform may amend these Terms at any time by posting updated Terms on the Platform. Continued use after amendments constitutes acceptance. Material changes require thirty (30) days' notice.

12.3 Severability

If any provision is found invalid or unenforceable, the remaining provisions remain in full force and effect.

12.4 Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any other provision.

12.5 Assignment

Users may not assign these Terms without Platform consent. The Platform may assign these Terms to any successor or affiliate.

12.6 Governing Law

These Terms are governed by the laws of New Jersey without regard to conflict of law principles.

12.7 Notices

12.8 Language

The English version of these Terms controls. Translations are provided for convenience only.
